We feel at home in these waters

Dabelstein & Passehl is your service provider for every aspect of maritime commercial law. Traditionally active in the areas of shipping law, land and air transport law, logistics law and insurance law, now the advising of the supply industry and on M&A projects belongs to our core competences just as much as the law of renewable energies and company and insolvency law.

In the area of maritime commercial law we are among the largest and most well-known law firms in Germany. We are often compared to a boutique. We now have more than 30 professionals on board and we are delighted to hear this. In a boutique the customer does not receive mass-produced items, but items made to measure. As your lawyers we will not only apply the appropriate law, but will provide you with integrated advice and pragmatic solutions.

Maritime law

Collisions, salvage/assistance, disasters, stranding and sinking – in maritime shipping there is no area in which we have not already worked. Contentious freight agreements, damage to cargo and persons, captain’s and pilot’s rights, marine employment law and public shipping law, port law, waterways law as well as the criminal liability of those involved in transport are all part of our daily work.

Transport & logistics

Land or sea transport, carriage by air, multi-modal transport, storage and logistics agreements: we advise on the drafting of contracts in all these areas, bearing in mind the relevant applicable convention (CMR, Hague Rules, Hague-Visby Rules, CIM, Warsaw Convention, Montreal Convention), defend your claims and manage recourse claims. We are constantly dealing with customs and pledge issues and provide practical assistance on issues of compliance and sanctions.

Shipbuilding & suppliers

The provision of advice to the shipbuilding and ship supply industry has traditionally belonged to our core competences. Our clients in this area include shipyards, suppliers and system manufacturers as well as shipping companies and service providers. Thanks to our specialist sector knowledge acquired through many years of experience and legal practice, we can offer our clients comprehensive business advice. We provide support through the drafting and negotiation of building, conversion and repair agreements as well as in the development and contractual optimisation of worldwide operation and service systems. We also offer our clients project-related advice that extends to claims management and provide support in the prosecution and defence of warranty claims and product liability claims.

Renewable energy & offshore

Companies in the area of renewable energy also benefit from our international experience and our expertise in large plant construction. Whether it is wind power, biogas, biomass or solar technology. Our practice area covers the whole spectrum of renewable energies.

Insurance law

As is appropriate to our focus on maritime commercial law, we advise our clients comprehensively on all aspects of insurance law relating to this area: marine insurance, transport insurance, other commercial and industrial insurance, insurance supervisory law and insurance broker law.

Ship finance & restructuring

Anyone who wants to run a shipping business must order or purchase a ship at a shipyard. This will almost always require tailor-made ship financing. Our practice area extends from the drafting of the complete contractual documentation for the loan and security agreements to the development and processing of the sale and purchase agreements and the registration of ship and mortgage.

Real Estate Law

Real estate is the biggest asset class in the world. Dabelstein & Passehl advise you on all real estate matters and will answer all questions arising in the course of your real estate projects: From structuring of acquisitions to financing or re-financing of existing investments to the implementation of new construction projects.

Whether it is the Warsaw Convention, the Montreal Convention or the European Air Passenger Rights Regulation (EC) No 261/2004: our specialists are best equipped to provide competent advice to airlines, freight forwarders, airport operators and their insurers on contractual as well as tortious claims and know exactly where responsibility begins and ends. Dabelstein & Passehl assists on negotiating and drafting of contracts (supply contracts, charter agreements, ground handling contracts, slot agreements, etc.).

Commercial & company law

We cover the whole spectrum of questions relating to company law. This begins with the choice of legal structure on establishment of a company and extends to the drafting and revision of all corresponding company agreements and the implementation of restructuring measures and restructuring itself.

Energy law

The energy sector practice has in recent years become an established feature of the Dabelstein & Passehl portfolio. Since the start of the green energy revolution, Dabelstein & Passehl has regularly advised on the area of renewable energy (wind, biogas, biomass and photovoltaic) in connection with its international experience and expertise in industrial large plant construction and now covers the whole spectrum.

Inland water transport

Our practice covers all aspects of inland water transport. It includes support in charter and freight agreements as well as the processing of cargo damage claims, maritime accidents and the sinking of vessels. Collisions also belong to our practice area, as do general average and salvage, together with all related insurance issues.

Employment law

Our range of legal services provided includes the provision of advice and process management in individual and collective employment law. We support companies on a project basis in transactions, due diligence, restructuring, outsourcing, transfers of undertakings and staff reductions and advise the human resources departments of companies on an ongoing basis on issues concerning employment agreements, management and collective bargaining law.

We negotiate employment relationships with directors, managing directors, management personnel and managers, provide support on questions of employment law compliance and take on process management for employers or managing directors of well-known small and medium-sized companies.

The construction and insurance of yachts, particularly those in the class of large or mega-yachts on which we are frequently consulted, entails a multitude of legal issues. We advise yacht owners, project managers and yacht designers in the choice of the correct legal form for their ownership company as well as in the drafting of construction, yacht design, insurance and financing agreements. We support yacht insurers in the processing of sometimes spectacularly large claims – and moreover in such a manner that they are always in safe waters.

Interim legal protection plays a significant role in maritime commercial law. Speed and international coordination as well as specialist knowledge are required. We are specialists in this area. Our excellent connections with law firms in many other countries makes it possible for us to take rapid action, even across borders.

International process coordination

The international coordination of proceedings before national courts, arbitration and mediation play a decisive role in the successful outcome of a legal dispute.

A worldwide network of reliable and competent law firms and the absence of the levels of bureaucracy sometimes found in larger law firms enables us to look after our international client portfolio in the Anglo-American and the continental legal system in a successful and cost-conscious manner. We are assisted in this by the fluent Spanish and French as well as English legal language expertise of our lawyers.

Cruise Industry

The cruise industry is a formidable player in the shipping world mastering the challenge of combining leisure comfort with the strictest safety and environmental standards. We advise ship owners, cruise lines and tour operators on all legal and regulatory matters concerning the cruise, travel and leisure industry including the legal implications of advanced technology such as artificial intelligence systems (AI), cyber risks, Big Data, data protection and alternative fuels (e.g. LNG). We conduct workshops and seminars on legal and regulatory compliance to keep our clients and contacts abreast of developments relevant to the industry.

Legal training

We offer application assistance, legal training and stand-by legal counsel services for Private Maritime Security Companies (“PMSC”) as required under German PMSC legislation.
